I am looking for out-of-box software solution for Linux to share a confidential data.
The protocol to download files does not make any difference, even HTTP sounds good ;)

It's needed for the storage to be encrypted or protected another way. Logging into the server with smart cards would be very useful. Of course for each user different set of files will be shared.

I am also receptive for commercial software.

What you are asking for is not very clear, but perhaps http://en.wikipedia.org/wiki/EncFS EncFS would work for you.

Look at LUKS. There is also smartcard support in most distributions during boot.
